This Agreement governs the terms between Inside Editors and you, the Customer, for our video editing services. By using our website (www.insideeditors.com) or services, you agree to these terms. We’re a Wyoming-based company dedicated to delivering top-tier video solutions globally.

Services
Inside Editors offers professional video editing services tailored to meet the needs of our clients. Our core services include, but are not limited to, the following:
Cutting and Trimming Footage: We meticulously edit raw video footage to remove unnecessary segments, ensure smooth pacing, and create a cohesive narrative or presentation that aligns with the client’s vision.
Adding Titles, Transitions, and Effects: We enhance videos by incorporating professional titles, seamless transitions, and visual or motion effects to elevate the production quality and align with the client’s branding or creative goals.
Color Correction and Audio Enhancement: Our team applies advanced color grading techniques to ensure visual consistency and vibrancy. Additionally, we optimize audio levels, reduce background noise, and enhance sound quality to deliver a polished final product.
Platform Optimization: We tailor video content for specific platforms, such as YouTube, Instagram, TikTok, or other social media and streaming services, ensuring compliance with platform-specific requirements (e.g., aspect ratios, file formats, and duration limits) to maximize audience engagement.
We may expand, modify, or discontinue any aspect of our Services at our sole discretion, with or without notice. Any changes will not affect projects already in progress unless mutually agreed upon in writing. Our goal is to provide flexible, high-quality editing tailored to your specifications, but the exact scope of each project will be confirmed at the time of your order.
Using Our Services
- Eligibility: Our Services are available to all users, with no age restrictions. If you are under 18, you represent that you have the consent of a parent or legal guardian to enter into this Agreement and use the Services.
- Accounts: To access and order our Services, you must create an account on the Site. You agree to provide accurate, complete, and current information during registration, such as your name, email address, and payment details. It’s your responsibility to keep this information updated and to safeguard your account credentials (e.g., username and password). You are liable for all activities under your account. If you suspect unauthorized access, notify us immediately at [email protected]. We reserve the right to suspend or terminate your account for violations of this Agreement, non-payment, or any misuse of our Services.
- Rules: You must use our Site and Services responsibly. Do not submit Content that is illegal, offensive, or infringes on third-party rights, and do not attempt to disrupt our systems (e.g., through hacking or malware). Violations may result in immediate account termination and potential legal action.
Payments
You agree to pay Inside Editors the fees for Services as outlined on the Site at the time of your order. All fees are quoted in U.S. dollars and are exclusive of applicable taxes or payment processing fees, which will be added to your total. Payments are processed through third-party providers (e.g., PayPal, Stripe), and you authorize us to charge your selected payment method for the full amount due. You must provide accurate and up-to-date payment information and update it promptly if it changes.
We may adjust our fees at any time, but changes will not apply to orders you’ve already paid for unless agreed in writing. In case of non-payment, we may suspend your access to the Services and pursue legal remedies to recover outstanding amounts, including associated legal fees, which you agree to cover.
Refunds

Content Ownership and Usage Rights
- Your Ownership: You retain full ownership of the Content you provide to Inside Editors for editing. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, and distribute it solely for the purpose of performing the Services. This license ends when we deliver your edited video, unless you permit further use (e.g., for marketing).
- Revocation: You may revoke any additional usage rights (e.g., for promotional purposes) by emailing us at [email protected] with the subject “Content Usage Revocation.”
- Restrictions: You confirm that you have all necessary rights and permissions to provide your Content to us and that it does not infringe on any Intellectual Property Rights, violate laws, or contain harmful or offensive material. We may refuse to work with Content we deem inappropriate or illegal.
Intellectual Property
- Our Ownership: Inside Editors retains all rights to our Intellectual Property, including our editing methods, workflows, branding, logos, and any software or tools we use to deliver Services.
- No License: You are not granted any rights to use our Intellectual Property beyond what’s necessary to receive the Services.
- Restrictions: You may not replicate, reverse-engineer, or misuse our Intellectual Property. We will enforce our rights against any unauthorized use through legal action if necessary.
Confidentiality
- Definition: “Confidential Information” includes any data shared between you and Inside Editors related to this Agreement that is marked confidential or should reasonably be considered confidential. This covers your business details (e.g., project plans), our pricing and processes, and project-specific information.
- Protection: We will not disclose your Confidential Information to third parties except as needed to provide the Services (e.g., to staff under confidentiality obligations) or as required by law. You agree not to share our Confidential Information without our written consent. Both parties will protect Confidential Information with reasonable care.
- Exceptions: Confidentiality does not apply to information already public, known to the receiving party beforehand, or legally obtained elsewhere. If disclosure is legally mandated, we’ll notify you where possible.
- Remedies: Unauthorized disclosure may cause irreparable harm, entitling the affected party to seek injunctive relief alongside other remedies.
Warranties and Disclaimers
- Our Warranties: We warrant that our Services will be performed with professional skill and care and will not infringe third-party Intellectual Property Rights.
- Disclaimers: Beyond this, the Services are provided “as is.” We do not guarantee specific results (e.g., video performance online), error-free Content, or compatibility with all platforms or devices. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent allowed by law. Your use of the Services is at your own risk.
Limitation of Liability
- No Indirect Damages: To the maximum extent permitted by law, Inside Editors and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages (e.g., lost profits, data, or goodwill) arising from this Agreement or the Services, even if we’re aware of the potential for such damages.
- Liability Cap: Our total liability will not exceed the fees you paid us for the Services in the 12 months prior to the claim, or $50 if no fees were paid.
- Exceptions: This does not limit liability for gross negligence, willful misconduct, or breach of confidentiality.
Indemnification
You agree to indemnify and hold Inside Editors harmless from claims, losses, or expenses (including legal fees) arising from your use of the Services, breach of this Agreement, or your Content’s infringement of rights or laws. We’ll indemnify you for claims due to our gross negligence or Intellectual Property breaches.
Termination
- By You: You may terminate this Agreement with 14 days’ written notice to [email protected].
- By Us: We may terminate with 14 days’ notice or immediately for your breach (e.g., non-payment). Upon termination, you’ll pay all fees owed, and we’ll stop Services. Confidentiality and liability terms survive termination.
Governing Law
This Agreement is governed by Wyoming law, with disputes resolved in Wyoming courts.

Turnaround Times and Revisions
- Estimated Turnaround Times: At Inside Editors, we strive to deliver your edited videos promptly. Our estimated turnaround times are:
- Long-form video editing (e.g., YouTube content): 48 hours.
- Short-form video editing (e.g., social media clips): 24 hours.
These estimates begin once we receive all necessary Content and instructions from you.
- Turnaround Time Disclaimer: These times are estimates, not guarantees. Actual delivery may vary based on project complexity, order volume, staff availability, or how quickly you respond to our queries. We’ll do our best to meet these timelines, but we’re not liable for delays beyond our control. For time-sensitive projects, communicate your needs clearly when ordering, though we still can’t promise exact delivery.
- Revisions: If you’re not fully satisfied with the delivered video, you can request revisions by submitting detailed notes via email to [email protected].
- Revision Turnaround: We aim to complete revisions within 24 hours, though this may vary depending on the scope of changes requested.
- Review Period: You have 5 calendar days from delivery to request revisions. If we don’t hear from you within this window, the project will be marked as complete and closed.
- Closed Projects: Once closed, projects cannot be reopened for further edits unless we agree otherwise at our sole discretion.
- No Guarantee: We make no firm commitments regarding turnaround times. These estimates are for planning purposes only, and you should not rely on them for critical deadlines.
Dispute Resolution
- Informal Resolution: If a dispute arises related to this Agreement, we’ll first try to resolve it informally. Contact us at [email protected] with details, and we’ll respond within 15 business days to negotiate in good faith. If we can’t resolve it within 30 days, the matter moves to formal resolution.
- Arbitration: Any unresolved disputes will be settled by binding arbitration, administered by an arbitration organization of our choosing, following its commercial arbitration rules. The arbitration will take place in Wyoming, USA. The arbitrator has sole authority to decide issues related to this Agreement’s interpretation, enforceability, or validity.
- Judgment: The arbitrator’s decision is final, and courts can enforce it.
- Governing Law: Arbitration will follow Wyoming state law and the Federal Arbitration Act (FAA), ignoring conflict of law principles.
- Exceptions: Either party may seek court-ordered injunctive relief in Wyoming to stop breaches of confidentiality, Intellectual Property violations, or other urgent harms, without needing arbitration first.
Force Majeure
Neither you nor Inside Editors will be liable for delays or failures to perform under this Agreement due to events beyond reasonable control, including natural disasters (e.g., floods, wildfires), pandemics, wars, terrorism, civil unrest, labor strikes, internet outages, or government actions. If such an event occurs, the affected party will notify the other as soon as possible and work to minimize the impact. If the delay lasts more than 30 days, either party may terminate the affected project without penalty, though you’ll still owe fees for work completed prior to the event.
Protection of Personnel
- Our Team: Our relationship with our editors, contractors, and other personnel (collectively, “Personnel”) is vital to our operations. You agree not to interfere with or harm these relationships.
- Prohibited Actions: You will not, directly or indirectly:
- Solicit, encourage, or attempt to hire our Personnel away from Inside Editors.
- Disrupt our business by targeting our Personnel or clients.
- Induce our clients to end their relationship with us or work with competitors.
- Scope and Duration: This applies to all Personnel and clients you learn about through us, and it lasts for 1 year after this Agreement ends.
- Remedies: Breaching this could cause us irreparable harm, so we may seek injunctive relief and other legal remedies beyond monetary damages.
Non-Solicitation of Clients
You agree not to solicit or engage with other Inside Editors customers you become aware of through your use of our Services for the purpose of offering competing video editing services. This restriction also lasts 1 year post-termination and is enforceable through legal action if violated.
Expiration of Prepaid Services
- Prepaid System: If we offer a prepayment or credit system for Services, any prepaid amounts or credits expire 90 days from purchase unless stated otherwise in writing.
- Tracking: It’s your responsibility to monitor expiration dates, calculated from the purchase confirmation email.
- Notifications: We may try to remind you of nearing expirations, but we’re not obligated to do so.
- No Refunds: Expired prepaid amounts or credits are non-refundable and cannot be redeemed or extended unless we offer an extension option at our discretion.
- No Liability: We’re not responsible for losses due to expired prepayments.
Third-Party Tools
We use third-party services (e.g., PayPal, Stripe, Google Analytics) to process payments, analyze Site usage, and deliver Services. These providers operate under their own terms and privacy policies, which you should review. We’re not liable for their performance, security, or data practices. Your use of these tools through us is at your own risk.
Miscellaneous Provisions
- Assignment: You cannot assign this Agreement or your rights under it without our prior written consent, which we may withhold at our discretion. Any unauthorized assignment is void. Inside Editors may assign this Agreement freely, such as in a business sale or merger.
- Waiver: No waiver of any term is valid unless in writing and signed by the waiving party. A waiver of one breach doesn’t waive others.
- Severability: If any part of this Agreement is found invalid or unenforceable, the rest remains in effect, and we’ll interpret it as close to the original intent as possible.
- Headings: Section titles are for convenience and don’t affect interpretation.
- Notices: Send legal notices to [email protected] with “Legal Notice – [Your Name/Company]” in the subject line. We’ll send notices to your registered email. Responses are due within 30 business days.
- Entire Agreement: This Agreement, along with our Privacy Policy, is the full understanding between you and Inside Editors, overriding any earlier discussions or agreements.
